These Terms of Service (“Terms”) apply to the products and services provided through ManovTools LTD trading as “FlowPosts” (“FlowPosts,” “Company,” “we,” “us”).

2. ABOUT THE SERVICE
FlowPosts provides a digital workspace for users to create, plan, and collaborate on marketing content (the “Service”), including related websites, networks, software and applications.
We integrate with and/or use official APIs and services provided by third parties (for example: WhatsApp, Facebook, Instagram, X (formerly Twitter), LinkedIn, Pinterest, Tumblr, Reddit, Telegram and others). Third-party services may change, suspend, or remove functionality at any time. We do not control third-party services and cannot guarantee uninterrupted compatibility with them.
3. ACCEPTANCE OF THESE TERMS
You must expressly accept these Terms when creating an account and/or purchasing a subscription (for example by ticking a box or clicking an “I agree” button).
By creating an account, starting a trial, purchasing a subscription, downloading, installing, accessing or using the Service, you agree to be bound by these Terms.
If you do not agree, you must not use the Service.
4. ELIGIBILITY AND ACCOUNTS
4.1 Age
You must be at least 18 years old (or the legal age to enter into a binding contract where you live) to use the Service.
4.2 Account information and security
You agree to provide accurate and complete information when creating an account and to keep it updated. You are responsible for all activity on your account and for keeping your credentials confidential.
4.3 Account deletion
You can delete your account using the account settings (if available) or by contacting us at support@flowposts.com.
5. PRIVACY
Our Privacy Notice explains what personal data we collect, how and why we use it, our legal bases, who we share it with (for example, service providers), international transfers (if any), retention periods, and your rights.
If there is any conflict between these Terms and our Privacy Notice regarding personal data processing, the Privacy Notice will apply.
6. COMMUNICATIONS AND MARKETING
6.1 Service messages
We will send you service-related messages electronically (for example: security notices, billing messages, account and support communications).
6.2 Marketing
We will only send you direct marketing messages where permitted by law. Where consent is required, we will ask for it separately. You can opt out at any time using the unsubscribe link in the message or by adjusting your account settings (if available).
7. PAYMENTS, PRICING, TRIALS, SUBSCRIPTIONS
7.1 Fees and currency
Fees are shown on our website at the time you place an order. Unless stated otherwise, fees are shown in pounds sterling (GBP).
Where applicable, taxes (including VAT) may apply depending on your location and status. Any applicable taxes will be clearly shown before you place your order.
7.2 Payment authorisation
You authorise us (via our payment processor) to charge the payment method you provide for fees due under your subscription or purchase.
You confirm you are authorised to use the payment method you provide. If you believe a payment was unauthorised, you must notify us promptly and we will investigate.
7.3 Free trial (14 days)
We may offer a free 14-day trial that allows you to access paid features during the trial period.
At the end of the 14-day trial, your access to paid tools/features will end and your account will revert to limited access. You will not be charged automatically at the end of the trial.
If you want to continue using paid tools/features after the trial, you can purchase one of our subscription plans at any time via your account (or the pricing page).
7.4 Subscription renewals and cancellation
A subscription starts only when you choose a paid plan and complete the purchase/checkout. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
You can cancel in your account settings (or by contacting support). If you cancel, you will generally retain access until the end of the current paid billing period (unless we state otherwise at checkout or you request immediate cancellation).
We may send renewal reminders and notices about upcoming renewals and changes to subscription fees.
8. CANCELLATION RIGHTS AND REFUNDS (IMPORTANT)
8.1 Consumers vs business users
Some sections in this clause apply only if you are a “consumer” under UK law (generally, an individual acting for purposes wholly or mainly outside your trade, business, craft or profession).
8.2 UK consumer cancellation right (online purchases)
If you are a UK consumer and you buy our Service online, you have a legal right to cancel the contract within 14 days from the day the contract is entered into, without giving any reason.
8.3 Starting the Service during the cancellation period (UK consumers)
By placing an order, you request that we start providing the Service immediately. You acknowledge that if you cancel within 14 days, you may have to pay for the Service supplied up to the time you cancel, calculated proportionately.
If we fail to provide you with required information about your cancellation rights or the cost of supplying the Service during the cancellation period (where applicable), you may not have to pay those costs.
8.4 Digital content (if applicable)
If we supply any digital content to you not on a tangible medium (for example, a downloadable file), we will only start supplying that digital content during the 14-day cancellation period if you give your express consent and acknowledge that you will lose your right to cancel once supply has begun.
8.5 Refund timing (UK consumers)
If you validly cancel, we will reimburse you without undue delay and in any event within 14 days of being informed about your decision to cancel, using the same means of payment you used, unless you expressly agree otherwise.
8.6 Statutory rights unaffected
Nothing in these Terms affects your statutory rights under UK consumer law (including your rights if the Service is not provided with reasonable care and skill).
8.7 Business users
If you are a business user, we may offer refunds only where required by law or where expressly stated at checkout or in a separate written agreement.
9. USE OF THE SERVICE (ACCEPTABLE USE)
You agree to use the Service lawfully and not to misuse it. You must not (and must not help others to):
– use the Service for illegal, infringing, or fraudulent purposes;
– attempt to access or interfere with systems, networks or data without authorisation;
– reverse engineer, copy, scrape, or attempt to extract source code except to the extent permitted by law;
– overload or disrupt our infrastructure (including by bots, spiders, automated requests);
– impersonate others, misrepresent the origin of content, or engage in phishing;
– upload or share content that is unlawful (including but not limited to terrorism content, child sexual exploitation and abuse (“CSEA”) content, or content amounting to hate crime), infringing, defamatory, hateful, or that contains malware or harmful code, including as described in the Online Safety Act 2023;
– violate third-party platform rules when using integrations.
We may suspend or terminate your access if you materially breach these Terms, misuse the Service, or if we reasonably believe this is necessary to protect the Service, other users, or to comply with law.
Where reasonably practicable, we will give you notice and (where appropriate) an opportunity to remedy the issue. We may suspend or terminate immediately if we reasonably believe there is a serious security or legal risk.
10. ONLINE SAFETY AND CONTENT MODERATION (UK)
10.1 Compliance with the Online Safety Act 2023
We are committed to ensuring FlowPosts is a safe environment. In compliance with the Online Safety Act 2023, we take proportionate measures to prevent users from encountering illegal content.
10.2 Zero tolerance for Priority Illegal Content
We have a zero-tolerance policy towards "priority illegal content" as defined in the Online Safety Act. This includes, but is not limited to:
(a) Terrorism content;
(b) Child Sexual Exploitation and Abuse (CSEA) content;
(c) Content amounting to hate crime, fraud, or assisting suicide;
and
(d) Any other content that is criminally unlawful in the United Kingdom.
10.3 Reporting illegal content
If you encounter any content on the Service that you believe is illegal, you can report it to us immediately using our reporting mechanism at support@flowposts.com. We review reports of illegal content on a priority basis.
10.4 Our rights to remove and report
We reserve the right to remove any content that we reasonably believe to be illegal or in breach of these Terms without prior notice.
In cases involving CSEA or terrorism content, or where there is an imminent threat to life, we will report the matter to the relevant authorities (such as the National Crime Agency or the police) and preserve evidence as required by law.
10.5 Contract rights (UK users)
Where and to the extent the Online Safety Act 2023 applies to the Service, our Terms of Service include your right to bring a claim for breach of contract if your regulated user-generated content is taken down (or access to it is restricted) in breach of these Terms, or if you are suspended or banned in breach of these Terms.
11. USER CONTENT
11.1 Ownership
You retain any intellectual property rights you have in content you upload, create, or share through the Service (“User Content”).
11.2 Licence to operate the Service
You grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to host, use, reproduce, process, display, and distribute your User Content solely to provide, operate, maintain and improve the Service, and to comply with legal obligations.
11.3 Responsibility for User Content
You are responsible for your User Content and ensuring you have the rights to use and share it.
11.4 Reports and takedowns
If you believe content on the Service is unlawful or infringes your rights, you can report it to us at support@flowposts.com. We will review reports and take appropriate action where required.
12. INTELLECTUAL PROPERTY (OUR RIGHTS)
We and our licensors own all rights in the Service, including software, designs, and trademarks, excluding User Content. You must not use our trademarks or branding without our prior written consent.
13. THIRD-PARTY LINKS AND SERVICES
The Service may contain links to third-party websites or services (“Linked Services”). Linked Services are not under our control. Your use of Linked Services may be governed by their own terms and privacy policies. We are not responsible for Linked Services.
14. DISCLAIMERS
The Service is provided on an “as is” and “as available” basis.
Nothing in these Terms excludes or limits any rights you have as a consumer under UK law, including your rights in relation to services that are not provided with reasonable care and skill.
15. LIMITATION OF LIABILITY
15.1 Non-excludable liability
Nothing in these Terms limits or excludes our liability for:
(a) death or personal injury caused by our negligence;
(b) fraud or fraudulent misrepresentation;
or
(c) any other liability that cannot be limited or excluded under applicable law.
15.2 Consumers
If you are a consumer, we remain responsible for loss and damage to you to the extent required by law.
15.3 Business users
If you are a business user, we will not be liable for any loss of profits, loss of business, business interruption, or loss of business opportunity.
For business users, our total liability in any 12-month period will be limited to the fees paid by you for the Service in that 12-month period.
16. INDEMNITY (BUSINESS USERS ONLY)
If you are a business user, you will indemnify us for losses arising from your unlawful use of the Service or infringement caused by your User Content, to the extent permitted by law.
This indemnity does not apply to consumers.
17. CHANGES TO PRICES
We may change our prices from time to time.
If you have a subscription, any price change will take effect from your next renewal date (not the current billing period). We will give you reasonable advance notice of any price increase. You can cancel your subscription before the new price applies.
18. CHANGES TO THESE TERMS
We may change these Terms to reflect:
(a) changes in law or regulation,
(b) security reasons,
(c) changes to the Service,
or
(d) to prevent abuse or harm.
If a change materially affects you, we will give you reasonable advance notice (for example by email or in-app notice). If you do not agree to the updated Terms, you can stop using the Service and cancel your subscription before the change takes effect.
19. DURATION AND TERMINATION
These Terms take effect when you accept them and remain in effect while you use the Service.
On termination, your right to access and use the Service ends. We may retain or delete User Content in accordance with our Privacy Notice and retention policies, and as required by law. We may keep backups for a limited period.
20. GOVERNING LAW AND COURTS
These Terms are governed by the law of England and Wales.
If you are a business user, the courts of England and Wales will have exclusive jurisdiction.
If you are a consumer, you may bring legal proceedings in England and Wales. If you live in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
21. DISPUTE RESOLUTION
Before starting formal legal proceedings, you and FlowPosts agree to make a reasonable effort to resolve disputes amicably.
